Terms and Conditions

This Agreement ("Agreement") is entered into by and between:

StockDrifts Inc. ("StockDrifts," "we," "us," or "our")
AND
The User, whose details are set out in the account registration ("you," "your," or "the User").

By creating an account with StockDrifts or using any of our websites, application programming interfaces, or applications (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this Agreement, together with the Privacy Policy, which is incorporated herein by reference.

1. Introduction and Scope of Services

1.1 Nature of Services

StockDrifts operates an AI-powered equity research platform that provides users with access to SEC filings analysis, earnings call transcripts, analyst ratings, insider activity tracking, smart notifications, and AI-driven financial insights (collectively, the "Services"). StockDrifts acts as an information and research tool provider and does not act as a financial advisor, broker, dealer, or investment manager.

1.2 No Advisory Relationship

StockDrifts does not provide investment, financial, legal, accounting, tax, or regulatory advice. All investment or trading decisions undertaken by you are made at your sole discretion and risk. You acknowledge that no content, analysis, or communication from StockDrifts should be construed as advice or a recommendation to buy, sell, or hold any security.

1.3 Supplemental Terms

Certain products or services offered by StockDrifts may be subject to additional terms, conditions, or disclosures, which form part of this Agreement once you begin using such products or services.

2. Eligibility

2.1 Eligible Users

To be eligible to use StockDrifts Services, you must:

  • (a) be at least eighteen (18) years of age;
  • (b) have the legal capacity to enter into binding contracts;
  • (c) reside in a jurisdiction where use of the StockDrifts Services is lawful and not restricted by local regulation;
  • (d) not be subject to sanctions imposed by any applicable governmental authority.

2.2 User Representations

By creating an account, you represent and warrant that:

  • (a) all information provided is true, complete, and accurate;
  • (b) you will immediately notify StockDrifts of any material changes to your information;
  • (c) your use of StockDrifts Services does not violate any law, regulation, or order applicable to you.

2.3 Approval and Discretion

All account registrations are subject to review and approval at StockDrifts' absolute discretion. StockDrifts may approve, reject, or impose restrictions on any account without providing a reason.

3. Account Registration and Security

3.1 Account Requirements

You must complete all account registration procedures, including providing a valid email address and creating a secure password. You may only hold one active StockDrifts account unless expressly authorized by StockDrifts.

3.2 Account Responsibility

You are solely responsible for maintaining the security and confidentiality of your account credentials and for all activity conducted under your account. You must not share your login details with third parties under any circumstance.

3.3 Security Credentials

You are responsible for maintaining strict confidentiality over your login credentials, passwords, and two-factor authentication (2FA) tokens. StockDrifts will never request your password, 2FA codes, or remote access to your device.

3.4 Unauthorized Access

Any compromise of your login credentials may result in unauthorized access to your account. StockDrifts is not responsible for losses arising from such unauthorized activity if due to your negligence or failure to maintain security.

3.5 Security Breach Notification

If you become aware of, or suspect, any unauthorized access or security incident involving your account, you must immediately:

  • (a) notify StockDrifts Support at hk@stockdrifts.io;
  • (b) provide accurate and timely information during our investigation; and
  • (c) follow any reasonable instructions issued by StockDrifts to mitigate risk.

3.6 Data Protection

StockDrifts processes personal data in accordance with its Privacy Policy. By entering into this Agreement, you consent to such data processing.

4. Use of Services

4.1 Access and License

Upon registration and acceptance, you are granted a non-exclusive, limited, and revocable right to access the StockDrifts platform for lawful personal or business use. All rights not expressly granted herein are reserved by StockDrifts. You may not sublicense, transfer, or permit third-party access to your account.

4.2 Acceptable Use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or deceptive purpose
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Platform
  • Scrape, crawl, or use automated tools to extract data from the Platform beyond what is provided through our API
  • Redistribute, resell, or sublicense any content, data, or analysis obtained through the Services without authorization
  • Interfere with or disrupt the integrity or performance of the Platform
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to other users' accounts or system components

4.3 Content and Data

All data, analysis, AI-generated insights, and content provided through the Services are for informational purposes only and should not be construed as financial advice. StockDrifts endeavors to provide accurate and timely information but does not guarantee the accuracy, completeness, or timeliness of any data.

4.4 Service Interruptions

StockDrifts may temporarily suspend Services for maintenance, upgrades, or other operational reasons. While we will endeavor to provide prior notice where feasible, interruptions may occur without warning. StockDrifts is not liable for losses resulting from downtime or system unavailability.

5. Subscriptions, Fees, and Payment

5.1 Subscription Plans

StockDrifts offers multiple subscription tiers (Free, Pro, Ultra, and Enterprise) with varying levels of features and access. Details of each plan, including features and pricing, are available on our Pricing page.

5.2 Billing and Payment

Paid subscriptions are billed on a recurring basis (monthly or annual) as selected at the time of purchase. Payments are processed securely through Stripe. You are responsible for ensuring your payment information remains valid and up to date.

5.3 Changes to Pricing

StockDrifts reserves the right to modify subscription pricing by providing prior notice via the Platform or email. Price changes will take effect at the start of your next billing cycle following notification.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. Refunds are available only during the free trial period. Once the free trial has ended and a paid billing cycle has begun, no refunds will be issued for any reason, including partial billing periods.

5.5 Free Tier

The free tier provides limited access to Platform features. StockDrifts reserves the right to modify, limit, or discontinue the free tier at any time without notice.

6. Intellectual Property

6.1 Platform Ownership

All intellectual property rights in the Platform, including but not limited to software, algorithms, AI models, user interfaces, designs, trademarks, and content, are owned by or licensed to StockDrifts. No right, title, or interest in any intellectual property is transferred to you under this Agreement.

6.2 User Content

You retain ownership of content you create on the Platform (e.g., saved watchlists, custom prompts, research notes). By using the Services, you grant StockDrifts a non-exclusive license to use, process, and store such content for the purpose of providing the Services.

6.3 Feedback

Any feedback, suggestions, or ideas you provide to StockDrifts may be used by us without restriction or obligation to you.

7. Disclaimer and Risk Acknowledgment

7.1 No Investment Advice

The Services, including AI-generated analysis and insights, are provided for educational and informational purposes only. Nothing on the Platform constitutes a recommendation, solicitation, or offer to buy or sell any securities or to engage in any investment strategy. StockDrifts strives to keep the quality and accuracy of its data and analysis as high as possible, but does not guarantee and takes no responsibility for the accuracy, completeness, or timeliness of any information provided. StockDrifts shall not be held liable for any financial losses, damages, or adverse outcomes resulting from decisions made based on information obtained through the Platform.

7.2 Acknowledgment of Risk

Investing in securities involves substantial risk and may result in loss of capital. Past performance does not guarantee future results. You acknowledge that all investment decisions are made at your sole discretion and risk.

7.3 Data Accuracy

While StockDrifts strives to provide accurate and timely financial data, we do not warrant or guarantee the accuracy, completeness, or reliability of any information provided through the Platform. Data may be subject to delays, errors, or omissions.

7.4 Independent Judgment

All decisions to act upon information obtained from the Platform are made at your sole discretion. You should consult with qualified financial professionals before making investment decisions.

8. Liability

8.1 General Release

In the event of any dispute between you and another user of StockDrifts Services, you agree to release StockDrifts, its affiliates, officers, directors, employees, and service providers from any claims, liabilities, damages, or demands arising out of such dispute.

8.2 Indemnification

You agree to indemnify, defend, and hold harmless StockDrifts, its affiliates, and each of their respective officers, directors, agents, and employees from any loss, damage, liability, or expense (including reasonable attorneys' fees) incurred as a result of:

  • your breach of this Agreement or any other StockDrifts policy;
  • your violation of any law or regulation; or
  • StockDrifts' enforcement of this Agreement against you.

8.3 Limitation of Liability

StockDrifts' aggregate liability to you for any loss, damage, or claim arising under or in connection with this Agreement, whether in contract, tort, or otherwise, shall not exceed the total amount of subscription fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

8.4 Excluded Losses

StockDrifts, its affiliates, and their respective officers, directors, agents, or employees shall not be liable for any:

  • (a) indirect, consequential, or special loss;
  • (b) loss of profits, revenue, data, goodwill, or anticipated savings;
  • (c) loss of opportunity, business, or reputation;
  • (d) investment losses arising from reliance on Platform content or analysis;
  • (e) delays, errors, or inaccuracies in data transmission;
  • (f) interruptions or suspensions of service due to technical issues or maintenance; or
  • (g) events of force majeure beyond StockDrifts' reasonable control.

8.5 No Warranties

All StockDrifts Services and the Platform are provided on an "as is" and "as available" basis. StockDrifts disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. StockDrifts does not guarantee uninterrupted, timely, or error-free operation of its systems.

8.6 Force Majeure

StockDrifts shall not be responsible for any delay, failure, or interruption in performance caused by events beyond its control, including but not limited to natural disasters, war, labor disputes, acts of government, telecommunications failures, or market disruptions.

9. Suspension and Termination

9.1 Right to Terminate

Either party may terminate this Agreement at any time. You may close your account through your account settings or by contacting support.

9.2 Termination by StockDrifts

StockDrifts may immediately suspend or terminate your account without prior notice if:

  • (a) you breach any obligation under this Agreement or other StockDrifts policies;
  • (b) any representation or warranty made by you is or becomes false, misleading, or incomplete;
  • (c) StockDrifts suspects fraud or other prohibited conduct;
  • (d) required by a court order or governmental authority; or
  • (e) StockDrifts, acting reasonably, determines that maintaining your account could pose reputational or operational risk.

9.3 Consequences of Termination

Upon termination, StockDrifts may:

  • Revoke access to paid features immediately or at cycle end;
  • Delete your account data in accordance with our retention policies;
  • Retain data as required by applicable law.

9.4 Effect of Termination

Termination does not affect any rights or obligations that have accrued prior to the effective date of termination. Provisions intended to survive termination (including indemnity, limitation of liability, and governing law) shall remain in force.

10. Complaints and Dispute Resolution

10.1 Contacting StockDrifts

If you have questions, feedback, or concerns regarding StockDrifts Services, please contact our support team via email at hk@stockdrifts.io. We aim to respond promptly and resolve inquiries efficiently.

10.2 Filing a Complaint

If you wish to file a formal complaint, please contact StockDrifts support and provide:

  • (a) Your full name, registered email address, and account ID;
  • (b) A clear description of the complaint, including relevant dates and events;
  • (c) Copies of all supporting documentation;
  • (d) The outcome or resolution you are seeking;
  • (e) Details of any prior communication with StockDrifts on the same matter.

StockDrifts will acknowledge receipt of your complaint and aim to respond within thirty (30) business days.

10.3 Arbitration Agreement

If a complaint cannot be resolved through StockDrifts' internal process, the matter ("Dispute") shall be referred to binding arbitration under the applicable rules of the American Arbitration Association (AAA).

  • (a) The seat of arbitration shall be New York, NY.
  • (b) The arbitration shall be conducted in English.
  • (c) The tribunal shall consist of one (1) arbitrator appointed in accordance with AAA rules.
  • (d) The decision of the arbitrator shall be final and binding upon both parties.

10.4 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the fullest extent permitted by law:

  • (a) no arbitration or proceeding shall be joined with any other;
  • (b) there is no right or authority for any dispute to be resolved on a class-action basis; and
  • (c) there is no right for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

11. General Provisions

11.1 Entire Agreement

This Agreement, including all policies and documents incorporated by reference (such as the Privacy Policy), constitutes the entire understanding between you and StockDrifts regarding the subject matter hereof and supersedes all prior discussions, representations, or agreements, whether oral or written.

11.2 Amendments

StockDrifts may amend this Agreement at any time by posting an updated version on the Platform. Amendments will take effect upon posting unless otherwise stated. Continued use of StockDrifts Services after an update constitutes your acceptance of the revised Agreement.

11.3 Assignment and Transfer

This Agreement is personal to you and may not be assigned or transferred without StockDrifts' prior written consent. StockDrifts may assign or transfer its rights and obligations to any affiliate or successor entity without prior notice.

11.4 Severability

If any provision of this Agreement is found invalid, unlawful, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

11.5 Waiver

No failure or delay by StockDrifts in exercising any right or remedy under this Agreement shall constitute a waiver of that or any other right or remedy.

11.6 Notices and Communication

  • (a) StockDrifts may provide notices to you electronically via email, your account dashboard, or postings on the Platform.
  • (b) All communications will be deemed received upon transmission unless returned as undeliverable.
  • (c) You must ensure that your registered email address remains valid and monitored.

12. Governing Law and Jurisdiction

12.1 Governing Law

This Agreement, and any claim or dispute arising out of or relating to it or the StockDrifts Services, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

12.2 Jurisdiction

Except where arbitration is required under Section 10, the courts of the State of Delaware shall have exclusive jurisdiction over all disputes arising in connection with this Agreement.
